ilumniz — Terms of Service

1. About these Terms
Welcome to ilumniz ("ilumniz", "platform", "service", "we", "us"). These Terms of Service ("Terms") govern your access to and use of ilumniz, a web platform focused on studying. By creating an account, accessing or using the service, you ("you" or "user") declare that you have read, understood and fully accepted these Terms, as well as our Privacy Policy, which is an integral part of this instrument.
If you do not agree with any provision of these Terms, do not use ilumniz.
2. Who operates ilumniz
ilumniz is operated by an individual (natural person), hereinafter referred to simply as "ilumniz". All inquiries related to the service, support, privacy and exercise of rights must be directed to:
3. What ilumniz offers
In its current stage, ilumniz provides digital tools to support individual studying, which may include, for example, note organization, file upload and management, tasks, calendar, quizzes, conversational interactions and other related features, as made available from time to time.
Features for interaction between users, collaboration or community may be introduced in the future. When they exist, they will be governed by these Terms and by any specific rules eventually published.
ilumniz is not an educational institution, does not issue certificates, does not replace academic or professional guidance, and does not guarantee academic results, approvals, grades or performance of any kind.
4. Beta phase — important notices
ilumniz is currently in closed beta. You expressly acknowledge and accept that:
- The service may present failures, instability, unavailability and unexpected behavior, at any time and without prior notice.
- Features may be added, modified, limited, suspended or removed at any time.
- Data you input may be lost, altered, migrated or deleted as a result of updates, maintenance, fixes, infrastructure migrations or discontinuation of components.
- There is no commitment to availability (SLA), support response time or historical preservation of data during the beta.
- ilumniz may be terminated, in whole or in part, including permanently, without compensation.
You are solely responsible for keeping your own copies of important content outside the platform.
5. Eligibility and registration
To create an account and use ilumniz, you must be at least 18 (eighteen) years old and have full legal capacity under Brazilian law. By signing up, you declare that you meet this requirement.
Certain features may be restricted to active university students, a condition verified through submission or validation of an institutional email issued by a higher education institution. ilumniz may, at its discretion, request additional verifications, revoke access to specific features if the condition is not confirmed or ceases to exist, and adjust eligibility criteria at any time.
6. Account and security
You are responsible for:
- Providing truthful, current and complete information during registration and keeping it updated.
- Keeping your access credentials (including password) confidential and maintaining control over any third-party login methods eventually linked (for example, Google).
- All activities carried out under your account, except for cases of unauthorized use proven to be outside your responsibility.
Authentication may occur via email and password and/or through third-party identity providers (for example, Google, via OAuth). When using federated login, you accept the respective provider's terms and privacy policy, in addition to these Terms.
Immediately notify ilumniz at support@ilumniz.com of any suspected unauthorized use, credential compromise or security breach.
7. Your content
"User Content" means any information, data, text, file, image, note, task, calendar event, message, question, answer or other material that you submit, create, upload, store or transmit through ilumniz.
7.1. Ownership. You retain ownership of your User Content. Nothing in these Terms transfers the intellectual property of such content to ilumniz.
7.2. Limited license to operate the service. So that ilumniz can effectively provide the service to you, you grant ilumniz a worldwide, non-exclusive, royalty-free, sublicensable (solely to suppliers strictly necessary for operation) and revocable license to host, store, copy, transmit, display, process, technically adapt and back up the User Content, exclusively to: (i) operate, maintain, protect and improve the service for the benefit of the user; (ii) comply with legal obligations; and (iii) perform features that you actively request.
This license terminates when the respective content is deleted from the platform, except for technical backup copies, data necessary to comply with legal obligations, and information that has already been anonymized.
7.3. Responsibility for content. You represent and warrant that you have all the necessary rights over the User Content and that its use on ilumniz does not violate third-party rights, applicable law or these Terms. ilumniz does not endorse, pre-review or take responsibility for content entered by users.
7.4. Third-party study materials. You are solely responsible for respecting copyright and other intellectual property rights related to books, course materials, articles, exams, recordings and any materials uploaded to the platform.
8. Acceptable use and prohibited conduct
When using ilumniz, you agree not to:
- Violate applicable laws, third-party rights or these Terms.
- Submit, store or transmit illegal, fraudulent, defamatory, discriminatory, hateful, violent content, sexually explicit content involving minors, or content that promotes unlawful acts.
- Share copyrighted materials without authorization.
- Attempt to access areas, accounts, systems or data that you are not entitled to access.
- Perform reverse engineering, decompilation, mass scraping, unauthorized automated extraction, scanning, intrusion testing or any attempt to circumvent security measures, usage limits or access controls.
- Interfere with the normal operation of the service, overload infrastructure, distribute malware or introduce malicious code.
- Use ilumniz to build a competing product or service, or to train third-party artificial intelligence models from the service or from data extracted from it.
- Impersonate identity, use other people's accounts without authorization, or create multiple accounts to bypass restrictions.
- Use the service to engage in academic fraud prohibited by the institution you are affiliated with; you are responsible for observing your institution's rules.
- Harass, threaten or otherwise abuse other users (particularly applicable once social features exist).
ilumniz may, at its discretion, investigate suspected violations, remove content, limit, suspend or terminate accounts, without prejudice to other applicable legal remedies.
9. ilumniz intellectual property
The service, including the "ilumniz" brand, name, logos, visual identity, software, source code, interfaces, texts, layout, structural databases, features and other elements, is and will remain the property of ilumniz or its licensors, and is protected by applicable intellectual property laws.
These Terms grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use ilumniz as provided herein. No other rights are granted, whether expressly or by implication.
Any feedback, suggestion or comment voluntarily submitted about the service may be used by ilumniz without restriction and without any obligation of compensation.
10. Payments, plans and subscriptions
ilumniz adopts a freemium model: there may be free features and features offered via paid subscription (currently planned on a monthly basis, with amounts and details to be disclosed at the time of contracting).
10.1. Plan and price changes. ilumniz may modify, create, discontinue or reshape plans, features, limits and prices at any time, with reasonable notice where applicable. There is no guarantee that the free plan will remain available, unchanged or with the same current limits.
10.2. Payment processing. When charges apply, payments will be processed by a specialized third party (for example, Stripe or another processor), subject to the respective provider's terms and privacy policy. ilumniz does not store full card data; such data is handled by the processor.
10.3. Renewal and cancellation. Paid subscriptions may be automatically renewed according to the conditions displayed at the time of contracting. You may cancel renewal at any time, retaining access until the end of the already-paid cycle, unless otherwise stated at the time of purchase.
10.4. Refunds. Refund requests will be assessed in accordance with applicable Brazilian law, particularly the Consumer Protection Code (Código de Defesa do Consumidor) and the right of withdrawal provided in distance contracting, where applicable, in addition to specific conditions eventually disclosed by ilumniz.
10.5. Taxes. Where applicable, prices may be subject to taxes in accordance with current legislation.
11. Communications
By using ilumniz, you agree to receive operational communications necessary for the functioning of the service (for example: registration confirmations, security notifications, notices of changes to these Terms or the Privacy Policy, billing, essential service changes), by email or within the platform.
Marketing communications (news, promotions, tips, surveys) will only be sent upon opt-in (prior consent) and may be unsubscribed at any time, without affecting the receipt of operational communications.
12. Changes to the service and suppliers
ilumniz is in continuous evolution. You expressly acknowledge and agree that ilumniz may, at any time and at its sole discretion:
- Modify, replace or discontinue software, APIs, libraries, databases, infrastructure, hosting, authentication, analytics, payment processing, artificial intelligence, vectorization providers and any other suppliers or sub-processors used to operate the service.
- Migrate data between environments, regions, suppliers and technical operators, observing the original purpose of processing and applicable legal obligations.
- Change features, system requirements, data formats, routes, usage flows and integrations.
Continuity of the service is an ilumniz goal, but it is not guaranteed, especially during the beta. The list of suppliers and sub-processors currently used is provided, for reference, in the Privacy Policy, and may be updated periodically.
13. Suspension and termination
13.1. By ilumniz. ilumniz may suspend or terminate your access, in whole or in part, with or without notice, when, in its reasonable discretion, it understands that: (i) there has been a violation of these Terms or applicable law; (ii) there is a risk to security, integrity, reputation or viability of the service; (iii) there has been abusive use; (iv) it is required by legal or judicial determination; or (v) the service, or part of it, is being discontinued.
13.2. By the user. You may terminate your account at any time, through the mechanisms available on the platform or by contacting support@ilumniz.com.
13.3. Effects. Upon termination, access to the service will cease and associated data may be eliminated as described in the Privacy Policy, subject to any legal retention obligations. Provisions that, by their nature, should survive termination (such as intellectual property, limitation of liability, indemnification, governing law and venue) remain in force.
14. Disclaimer of warranties
To the maximum extent permitted by applicable law, ilumniz is provided "as is" and "as available", without warranties of any kind, express or implied, including, without limitation, warranties of fitness for a particular purpose, merchantability, accuracy, timeliness, absence of errors, uninterrupted operation, absolute security or compatibility with specific systems.
ilumniz does not guarantee that the service will meet particular expectations, that it will be free of failures, nor that any content will be preserved without alteration, loss or unavailability, particularly during the beta phase.
15. Limitation of liability
To the maximum extent permitted by applicable law, ilumniz shall not be liable for:
- Indirect losses, lost profits, loss of opportunity, loss of data, or moral damages arising from interruptions, failures, unavailability, migrations or changes to the service.
- Academic, professional or personal results of the user.
- Content, conduct, omissions or acts of third parties, including other users, identity providers, payment processors and infrastructure suppliers.
- Force majeure events, acts of God or circumstances beyond ilumniz's reasonable control.
Nothing in these Terms waives rights that cannot be limited by law, particularly in relationships governed by the Consumer Protection Code (Código de Defesa do Consumidor).
16. Indemnification
You agree to defend, indemnify and hold ilumniz harmless from any claims, losses, liabilities, costs and expenses (including reasonable attorney fees) arising from: (i) your misuse of the service; (ii) violation of these Terms; (iii) violation of third-party rights, including intellectual property and privacy; or (iv) content entered by you on the platform.
17. Changes to these Terms
ilumniz may update these Terms at any time, to reflect legal, operational, supplier, feature or business-model changes. The current version will always be published on the website, with the corresponding "last updated" date.
Material changes will be communicated by reasonable means (for example, notice on the platform or by email). Continued use of the service after publication of a new version means your acceptance of the updated Terms. If you do not agree, you must cease use and terminate your account.
18. Governing law and venue
These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the Judicial District of Porto Alegre, Rio Grande do Sul are hereby elected to resolve any controversies arising from these Terms, with express waiver of any other, however privileged, without prejudice to the consumer's right to sue in the venue of their domicile where applicable.
19. General provisions
- Entire agreement. These Terms, together with the Privacy Policy and any specific notices displayed in particular features, constitute the entire agreement between you and ilumniz.
- Assignment. You may not assign these Terms without prior consent. ilumniz may assign them to successors, acquirers or affiliates, upon notice.
- Waiver and severability. Tolerance regarding the breach of any clause does not imply waiver. If any provision is deemed invalid, the remaining provisions continue in force.
- Prevailing language. In case of divergence between translations of these Terms, the Brazilian Portuguese version prevails.
